Legal Contractor /Associate General Counsel - Corporate Development LegalContract Duration 6+ MonthsPay range - $310 to $320/hrJob Overview:Our client is seeking an Associate General Counsel to serve as the attorney advising on strategic corporate governance matters and corporate development transactions.This role is a newly created, and looking with a vision that can effect change and ensure execution at the highest levels in a fast-paced, iterative environment.Key Responsibilities:Advise on corporate legal transactions, partnering with our colleagues in corporate development/strategyDevelop and lead a comprehensive corporate governance program, in line with ESG best practices, including building out processes and improvementsPresent to and advise on corporate law to boards of directors and committeesWork collaboratively to develop a strategy and materials for multiple boards and committeesProvide legal advice on, review/draft, and develop resolutions, charters, forward agendas, minutes, policies, playbooks, new committees, annual filings, legal records, and other governance itemsOversee the work of more junior team membersJob Qualification & Necessary Skills:Admitted to practice in New York4 years plus of experience at a law firmDeep knowledge of Delaware corporate law with the ability to apply concepts to other jurisdictions and new situationsDeep knowledge of ESG and corporate governance best practicesAbility to motivate team members, work across functions, and supervise othersSuperior critical thinking, judgment, and communication skillsExpertise in preparing formation documents, qualifications, dissolutions, resolutions, and board materialsSelf-starter and ability to manage competing prioritiesSuperior organization skills and attention to detailAbility to coordinate complex tasks with multiple stakeholders and synthesize information to convey clearly to C-suite and board of directors-level audiencesCreative and effective at change managementBenefits:Medical, Vision, and Dental Insurance Plans401k Retirement FundAbout the Company:Our client is a leading U.S. retirement and life insurance company, with a broad range of competitive and innovative products, leading integrated risk and investment management, and highly experienced leadership.
